Section 1

What These Terms Do

This End User License Agreement ("EULA" or "Terms") is a legally binding agreement between you ("you", "your", "User") and SOCHWARE Private Limited(operating as "ManoYatra", "we", "us", "our"), a company incorporated under the laws of India with its registered office at Innov8 UCP 9th Floor, Tower D, Unitech Cyber Park, Sector 39, Gurgaon, Haryana, India, 122001.

These Terms apply to your use of our website (manoyatra.com), our mobile applications available on Android and iOS platforms, and all related services, features, content, and functionality collectively referred to as the "Software".

These Terms create binding legal obligations. Please read them carefully before using the Software. By accessing, downloading, installing, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Software for your personal, non-commercial purposes. We retain all intellectual property rights, title, and interest in and to the Software, including all associated copyrights, trademarks, trade secrets, patents, and other proprietary rights.

For B2B Enterprise Users:If you are accessing ManoYatra through your employer or organisation under an enterprise arrangement, your use is also subject to the Master Service Agreement ("MSA") between SOCHWARE and your organisation. In the event of a conflict between these Terms and the MSA, the MSA shall prevail.

About ManoYatra Software

ManoYatra is an AI-powered mental wellness companion application designed to provide emotional wellbeing support through intelligent, empathetic conversations and evidence-based therapeutic tools.

Core Features

  • AI Companion Conversations ("Companion Space") — Engage in natural, empathetic conversations with AI companions tailored to your emotional needs, available in multiple languages including Hindi, English, and Hinglish.
  • Evidence-Based Therapeutic Tools ("Care Library") — Access a curated library of therapeutic exercises, guided meditations, breathing techniques, and coping strategies informed by clinical psychology.
  • Mental Wellness Score (MWS) Tracking — Monitor your emotional wellbeing across 8 dimensions including stress, anxiety, mood, sleep quality, resilience, social connection, self-esteem, and energy levels, updated through daily interactions.
  • Daily Check-ins — Brief, structured check-ins to track your emotional state, sleep patterns, and energy levels over time.
  • Clinical Self-Assessments — Validated screening tools informed by PHQ-9 (depression), GAD-7 (anxiety), and other established clinical frameworks to help you understand your emotional patterns.
  • SOS Crisis Support Routing — Immediate routing to professional human counsellors and national emergency helplines when signs of severe distress are detected.

B2B Enterprise Features

  • Anonymized workforce wellness dashboard for organisational health monitoring
  • Team-level trend reporting and aggregate insights (no individual-level data shared)

AI & LLM Disclaimers

ManoYatra uses advanced Artificial Intelligence, including Large Language Models (LLMs), to power its conversational features and provide personalised emotional support. It is important that you understand the nature and limitations of AI-generated interactions.

Important: When you use ManoYatra, you are interacting with AI software, NOT a human being. All conversations in the Companion Space are generated by AI algorithms.

While our AI is designed to be empathetic, contextually aware, and supportive, it may occasionally:

  • Misunderstand your messages — AI may misinterpret the context, tone, or intent of your communications, particularly with colloquial expressions, sarcasm, or nuanced emotional states.
  • Provide imperfect or irrelevant responses — AI-generated responses may sometimes be generic, repetitive, or not fully aligned with your specific situation or needs.
  • Give incorrect inferences about your emotional state — The AI's assessment of your emotions or mental state may not always accurately reflect your actual feelings or clinical condition.

Safety Measures

All AI outputs pass through our clinical safety checks before being delivered to you. These checks are designed to filter harmful, inappropriate, or clinically dangerous content and to detect signs of severe distress that require human intervention.

Content Guidelines

  • Do not share sensitive personal information such as financial details, legal matters, or political affiliations unless explicitly asked within a relevant therapeutic context.
  • Do not input meaningless, harmful, abusive, or deliberately unsafe content into the Software.
  • Our responsible AI practices guide all LLM usage and are designed to protect your rights, safety, and dignity.

Please note that AI services may be temporarily unavailable due to scheduled maintenance, technical issues, or updates. We will endeavour to minimise such disruptions and provide advance notice where possible.

Section 4

Eligibility & Age Requirements

To use ManoYatra, you must meet the following eligibility requirements:

  • Minimum Age: You must be at least 13 years of age to create an account and use the Software.
  • Parental Consent (Ages 13–17): If you are between 13 and 17 years of age, you must have verifiable consent from a parent or legal guardian before using the Software. We may require proof of such consent at any time.
  • Accurate Information: You must provide truthful and accurate information about your age during registration and at any subsequent verification request.

ManoYatra is not responsible if any person provides false age information to gain access to the Software. If we discover or have reasonable grounds to believe that a user has provided false age information or does not meet the minimum age requirement, we reserve the right to immediately suspend or terminate the account without notice.

We reserve the right to implement additional age verification measures at any time to ensure compliance with applicable child protection laws, including but not limited to the Children's Online Privacy Protection Act (COPPA) and the Digital Personal Data Protection Act, 2023 (DPDPA).

Section 5

Your Use of the Software

Permitted Use

Your license to use ManoYatra is limited to personal, non-commercial use only, unless you are accessing the Software under an enterprise agreement between SOCHWARE and your organisation. You agree to:

  • Keep the application updated to the latest available version to receive the latest features, security patches, and bug fixes.
  • Keep your login credentials, passwords, and authentication tokens secure and confidential at all times.
  • Accept full responsibility for all activity that occurs under your account, whether or not authorised by you.

Prohibited Activities

You agree that you will NOT engage in any of the following prohibited activities:

  • Reverse engineering, decompiling, or disassembling the Software or any part thereof, except to the extent expressly permitted by applicable law.
  • Copying, modifying, or creating derivative works based on the Software, its source code, visual design, or underlying algorithms.
  • Using automated tools, including but not limited to bots, scrapers, spiders, crawlers, or any automated data collection mechanisms, to access, scrape, or interact with the Software.
  • Attempting to gain unauthorised access to our systems, servers, networks, databases, or any part of the Software's infrastructure.
  • Using the Software for academic or commercial research purposes without our prior written permission.
  • Sharing, uploading, or transmitting content that is harmful, illegal, abusive, threatening, defamatory, obscene, or offensive in nature.
  • Impersonating any person, entity, or organisation, or falsely claiming an affiliation with any person or entity.
  • Interfering with or disrupting the Software's operation, servers, networks, or security features, including through denial-of-service attacks, malware, or other malicious code.

Third-Party Links

The Software may contain links to third-party websites, services, or resources. These links are provided for your convenience only. We do not control, endorse, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with third-party sites are governed solely by the terms and policies of those third parties.

Section 6

User Content

"User Content" means any and all content that you submit, upload, transmit, or otherwise make available through the Software. This includes, but is not limited to: text messages, voice notes, audio recordings, check-in responses, assessment answers, mood entries, journal entries, and any other data you provide during your use of the Software.

You retain ownership of your User Content. Nothing in these Terms transfers ownership of your intellectual property rights in your User Content to SOCHWARE.

You are solely responsible for the accuracy, quality, integrity, legality, and appropriateness of all User Content that you submit. You represent and warrant that:

  • Your User Content does not violate any applicable laws, regulations, or third-party rights.
  • Your User Content is not illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Your User Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party.
  • You have all necessary rights, permissions, and consents to submit the User Content and to grant the licenses described in Section 7.
Section 7

User Content License Grant

By using the Software and submitting User Content, you grant SOCHWARE Private Limited a non-exclusive, worldwide, royalty-free, sublicensable license to use your User Content solely for the following purposes:

  • Service Delivery: To process your content in order to deliver our core services, including AI-powered conversations, Mental Wellness Score (MWS) calculation, personalised recommendations, and therapeutic tool suggestions.
  • Anonymisation and Aggregation: To anonymize and aggregate your content for the purpose of service improvement, research and development, quality assurance, and advancing our AI models — always in a manner that ensures no individual user can be identified.
  • Secure Storage: To store your content securely on our servers and with our trusted infrastructure partners, as described in our Privacy Policy.

This license exists solely for the purpose of providing and improving our services to you and other users. We will not sell, rent, or commercially exploit your User Content in its identifiable form to third parties.

This license terminates when you delete your account, subject to our data retention policy as outlined in our Privacy Policy. Certain anonymized and aggregated data that cannot be attributed to you may be retained after account deletion for research and service improvement purposes.

Section 8

Subscription & Payment

Free Tier

ManoYatra offers a free tier with limited features available at no cost. The free tier is subject to usage limits, including restrictions on the number of daily conversations, access to certain therapeutic tools, and the depth of MWS insights available. We reserve the right to modify the features and limits of the free tier at any time.

Premium Subscription

Our Premium Subscription unlocks the full suite of ManoYatra features, including but not limited to: unlimited AI companion conversations, detailed and comprehensive MWS insights and trend analysis, access to the full Care Library of therapeutic tools, priority customer support, and early access to new features.

Billing & Renewal

  • All billing is managed through the Google Play Store (for Android users) or the Apple App Store (for iOS users).
  • Your subscription will automatically renew at the end of each billing cycle (monthly or annually, as selected) unless you cancel before the renewal date.
  • Payment will be charged to your app store account upon confirmation of purchase and at the beginning of each renewal period.

Cancellation

You may cancel your subscription at any time through your app store subscription settings (Google Play Store or Apple App Store). Cancellation will take effect at the end of the current billing period. You will continue to have access to Premium features until the end of your paid period.

Refunds

Refund requests are governed by the Google Play Store or Apple App Store refund policies, as applicable. SOCHWARE does not directly process refunds for subscriptions purchased through app stores. Please contact your respective app store for refund inquiries.

Price Changes

We may change subscription prices from time to time. We will provide you with at least 30 days' advance notice of any price changes. Continued use of the Premium Subscription after the price change takes effect constitutes your acceptance of the new pricing.

B2B Enterprise Access:If you access ManoYatra through your organisation's enterprise agreement, your access is provided and managed under the terms of the Master Service Agreement (MSA) between SOCHWARE and your organisation. Features, access levels, billing, and terms are governed by the MSA.
Section 9

Data Protection

Your data is handled in accordance with our comprehensive Privacy Policy, which forms an integral part of these Terms. We encourage you to read our Privacy Policy carefully to understand how we collect, use, store, protect, and disclose your personal information.

By using the Software, you consent to the collection and processing of your data as described in our Privacy Policy. This includes the collection of usage data, device information, interaction data, and User Content necessary to provide and improve our services.

We are committed to protecting your privacy and complying with applicable data protection laws, including:

  • Digital Personal Data Protection Act, 2023 (DPDPA) — for all users, with particular provisions for users in India.
  • General Data Protection Regulation (GDPR) — for users located in the European Union or European Economic Area.
  • California Consumer Privacy Act (CCPA) — for users who are residents of the State of California, United States.
Your Privacy Matters: ManoYatra is built on end-to-end encryption. Your personal conversations are never read by our employees, and we never sell your personal data to third parties.
Section 10

Termination

Termination by You

You may stop using the Software at any time, for any reason, without prior notice to us. To initiate the deletion of your account and associated data, navigate to the account settings within the application and follow the account deletion process. Upon submitting a deletion request, your data will be handled in accordance with our data retention policy as detailed in our Privacy Policy.

Termination by Us

We may suspend or terminate your access to the Software, in whole or in part, without prior notice if:

  • You violate these Terms or any applicable laws or regulations in connection with your use of the Software.
  • Your conduct puts other users at risk or negatively impacts the safety, security, or integrity of the Software or its community.
  • We are required by law or by a lawful order from a court of competent jurisdiction or governmental authority to suspend or terminate your access.
  • Your organisation's enterprise agreement expires or is terminated (applicable to B2B enterprise users).

Effect of Termination

Upon termination of your account, your data will be handled in accordance with our data retention policy as set out in our Privacy Policy. If you have an active Premium Subscription at the time of termination, please contact your app store (Google Play Store or Apple App Store) to inquire about refund eligibility for any unused portion of your subscription.

Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to: intellectual property provisions, warranty disclaimers, limitation of liability, indemnification obligations, and dispute resolution provisions.

Section 11

Indemnity, Warranty & Liability

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCHWARE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do NOT guarantee that:

  • The Software will be error-free, uninterrupted, secure, or available at all times.
  • AI-generated responses will always be accurate, appropriate, helpful, or suitable for your specific situation.
  • The Mental Wellness Score (MWS) will be clinically accurate for every individual or serve as a reliable clinical diagnostic tool.
  • The Software will meet your specific requirements, expectations, or therapeutic needs.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOCHWARE PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Software shall not exceed the total amount you have actually paid to SOCHWARE for the Software during the twelve (12) months immediately preceding the date of the claim. If you have not made any payments, our maximum liability shall be limited to INR 1,000 (Indian Rupees One Thousand).

Indemnification

You agree to indemnify, defend, and hold harmlessSOCHWARE Private Limited, its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, demands, actions, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to the Software.
  • Your User Content or any content you submit through the Software.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.

Medical Disclaimer

The Software does not replace professional medical or mental health advice. You expressly acknowledge and agree that any reliance on AI-generated content, wellness scores, assessments, or recommendations provided by the Software is entirely at your own risk. SOCHWARE shall not be liable for any health outcomes resulting from your use of the Software.
Section 12

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Tiered Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Software shall be resolved through the following tiered process:

Step 1: Amicable Resolution (30 Days)

The parties shall first attempt to resolve any dispute through good-faith negotiation. Either party may initiate this process by sending a written notice describing the dispute to the other party. The parties shall have 30 calendar days from the date of such notice to reach an amicable resolution. To initiate a dispute, contact us at manoyatraai@gmail.com.

Step 2: Arbitration

If the dispute is not resolved through amicable negotiation within 30 days, either party may refer the dispute to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted as follows:

  • Seat of Arbitration: Gurugram, Haryana, India.
  • Language: English.
  • Arbitrator: A single arbitrator mutually appointed by both parties. If the parties fail to agree on an arbitrator within 15 days, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
  • The arbitral award shall be final and binding on both parties.

Step 3: Courts

Subject to the arbitration clause above, the courts in Gurugram, Haryana, India shall have exclusive jurisdiction over any disputes that cannot be resolved through arbitration, including applications for interim relief, injunctive orders, or enforcement of arbitral awards.

Other Important Terms

  • Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable enterprise agreement (MSA), constitute the entire agreement between you and SOCHWARE with respect to the Software, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
  • Waiver: The failure of SOCHWARE to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of SOCHWARE.
  • Assignment: SOCHWARE may assign, transfer, or delegate these Terms and its rights and obligations hereunder without restriction. You may not assign or transfer these Terms, or any of your rights or obligations, without the prior written consent of SOCHWARE.
  • Force Majeure: Neither party shall be liable for any delay or failure to perform its obligations under these Terms resulting from events beyond the reasonable control of such party, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, government actions, power failures, internet or telecommunications outages, or cyberattacks.
